How public markets fit
Public markets are a setting for issuance and trading—not one funding source
A public-market transaction may use equity, debt, or another instrument. The instrument determines core economics, while offering, market, and jurisdictional rules shape access and continuing duties.

Topics to understand
Four parts of the public-market picture
Each part can involve different documents, participants, timing, and rules.
Primary issuance
An organization may receive new proceeds by issuing shares, debt securities, or other instruments to investors under the applicable offering rules.
Secondary trading
Investors may buy and sell existing securities. This can support liquidity and price discovery, but it generally does not provide new funds to the issuer.
Market admission or listing
Offering or selling securities, registering them for exchange trading where required, acceptance by a market operator, and valid issuance under applicable entity law are separate questions.Requirements vary by jurisdiction, venue, instrument, exemptions, and facts. Satisfying one question does not establish the others.
Continuing obligations
Public issuers may face continuing disclosure, financial reporting, governance, market-conduct, communication, and exchange or venue requirements.
Participants and responsibilities
Public financing can involve several specialist roles
The parties and their legal responsibilities vary by instrument, transaction, market, and jurisdiction. Mentioning a role does not identify or recommend a provider.

- Regulators and market operators

- Underwriters, dealers, and advisers
